Their main duties of the Trust Board are to:

formulate strategy based on local needs and circumstances

translate national strategies into local plans

agree the programming of work for the Trust

In fulfilling these duties, the Trust Board needs to take account of:
- Patient Safety and Experience
The main focus for the NHS is providing high standards of health care. The framework by which we aim to monitor and meet these high standards is known as "clinical governance". This means that the highest priority of the Trust Board is to ensure that effective clinical governance arrangements are in place. Not only does the Trust Board have a statutory duty to do this, but a range of national organisations such as the Care Quality Commission have independent inspection and regulatory roles to provide further reassurance on behalf of the communities we serve. One the main monitoring and review mechanisms is through Registration with the Care Quality Commission.
- Financial Monitoring and Control
Boards in the NHS are responsible for the proper management of public funds. They need to assure themeselves that effective financial management and control systems are in place, but in addition to this the Trust's financial affairs are scrutinised by:
- the Trust's internal auditors
- the Trust's appointed external auditors
- the Audit Commission which draws up an Annual Audit Letter that may require action by the Trust
- the National Audit Office which may undertake enquires into matters of concern
- the Health Select Committee in Parliament which increasingly expects to hear evidence for the NHS.
- Accountability
NHS Trusts are accountable to the Department of Health via regional Strategic Health Authorities. We are required to account for our actions to the Department of Health, and to NHS West Midlands (our regional Strategic Health Authority). When we become an NHS Foundation Trust we will have stronger accountability to the communities we serve through elected Public Governors. - Probity
All Board members must be open about their own business interests which may impact on the decisions of the Trust on behalf of local patients and communities. All such interests must be made public and are recorded in a public register. This is published at meetings of the Trust Board and in the Trust's Annual Report.
- Code of Openness/Freedom of Information
This assures staff, patients and the public that the Board is acting in the common interest and, when a difficult decision has to be made, that the Board has taken into account the relevant facts.

1. Chairman
The Chairman of a Trust Board is a non-executive appointment, accountable to the Secretary of State for Health for giving leadership to the Board and ensuring that it fulfils its full responsibilities. The Chairman ensures that the Board:
- provides efficient and effective healthcare;
- maintains financial viability;
- meets legal and contractual obligations.

2. Non-Executive Directors
Every NHS Trust Board must have a majority of lay people on the Board, including the Chairman and Non-Executive Directors. They are appointed from the local community served by the Trust, and their responsibilities include:
- helping the board to work in the public interest and keep its patients and the public properly informed
- helping to plan for the future to improve healthcare services
- making sure that the management team meets its performance targets
- making sure that the finances of the organisation are managed properly, with accurate information.
Each Non-Executive Director also brings individual skills and personal experience of their community and the NHS to guide the work of the Trust.

3. Executive Directors
The Executive Directors are experts led by a Chief Executive. Each Executive will have their own clinical/functional responsibilities as well as being a corporate member of the Board.
The Executive Directors of the Trust Board are:
- Dr Ashley Fraser - Medical Director
- Mrs Vicky Morris - Director of Quality and Nursing/Chief Nurse (from January 2011)
- Mr Neil Nisbet - Finance Director (from April 2011)
- Vacancy - Director of Operations (Andrew Stenton is currently interim director of operations and is not a member of the Trust Board)
In addition the Director of Business and Enterprise Mrs Deborah Vogler and Director of Compliance and Risk Management Mrs Julia Clarke attend as non-voting members of the Trust Board.
Other corporate directors who are not members of the Trust Board: The Trust has three other corporate directors who are not members of the Trust Board but form part of the corporate management team of the Trust. These are Communications Director Mr Adrian Osborne, Workforce Director Victoria Maher and Transformation Director Mr Steve Peak.

We publish a schedule of the expenses of the members of the Trust Board every year (commencing 2008/09). This is normally published by 30 June for the preceding year:
To ensure that the Trust is focused on the quality and outcomes of clinical care, it is vitally important that there is clinical leadership and engagement throughout the organisation.
In addition to the Medical Director and Chief Nurse on the Board, the clinical services within the Trust are managed in eleven Clinical Centres. Each Clinical Centre is led by a Hospital Consultant or another healthcare professional.

The Centre Chiefs are responsible for clinical leadership and management of the services in their Centre. Alongside this we have six clinical champions in key programmes that aim to support the patient journey through our services, and to maintain and improve standards of clinical quality:

The main operational decision-making body in the Trust is the Hospital Executive Committee. This comprises the Chief Executive, the Centre Chiefs, the other clinical leaders listed above, the Executive Directors and the other corporate directors.
The Trust is currently undergoing a restructure of services and departments therefore the Trust anticipates that the organisational structure and list of job titles and salaries will be updated again in December 2011. This will then be updated on a yearly basis.
